Investment Focus

We invest in one of the following types of deals:

• Buy-outs/buy-ins
• Private companies in expansion

Equity or equity related instruments (convertibles, preferred shares, bonds with warrants). We do not provide loans.

We are regional investors and consider companies with a substantial part of the business carried out in the Baltic States.

We are generalists and have invested in a wide range of industries. We will not invest in gambling, arms or hard liquor manufacturing, financial services, real estate, insurance or environmentally hazardous businesses.

Depends on type of deal: typically larger in case of buy-outs and lower in expansion-type deals. However, we will continuously consider add-on investments to growing companies. The initial investment is at least EUR 3 million for buy-outs and EUR 0,3 million for venture capital (Jeremie Funds) investments.

We acquire majority or significant minority positions with controlling rights.

The typical holding period of our investments is 3-5 years after which we sell our shares in the company.

The exit channels are: sale to strategic (trade) buyer, sale to a financial buyer, public offering (IPO) and sale to other co-owners.

BaltCap is an active owner. Among other things we require:

• A shareholders' agreement
• A supervisory board seat
• Regular management and financial reports
